End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and Qurly (“Licensor”) governing your use of the Qurly software application, including all web applications, APIs, and associated documentation (collectively, the “Software”).
This EULA is incorporated into and forms part of our Terms of Service. By accessing or using the Software, you agree to be bound by this EULA.
1. Grant of License
Subject to the terms of this EULA, Qurly grants you a:
- Limited license — only for the scope of use described herein
- Non-exclusive license — we may grant the same rights to others
- Non-transferable license — you may not transfer this license to any third party
- Non-sublicensable license — you may not grant sublicenses
- Revocable license — we may terminate this license for cause
to access and use the Software solely for your internal business or personal purposes, in accordance with any applicable usage limits associated with your subscription plan.
2. Restrictions
You may not, and may not permit any third party to:
- Copy or reproduce the Software beyond what is necessary for normal use
- Modify or create derivative works based on the Software
- Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law
- Remove or alter any proprietary notices or labels on the Software
- Use the Software to build a competing product or service
- Sell, sublicense, or otherwise make the Software available to third parties as a standalone product
- Use the Software in any way that violates our Terms of Service, including our Acceptable Use Policy
- Circumvent any technical protection measures we have implemented
3. Intellectual Property
The Software is licensed, not sold. Qurly and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Any feedback or suggestions you provide may be used by Qurly without restriction or compensation, and you hereby assign all rights in such feedback to Qurly.
4. Updates and Changes
Qurly may release updates, change features, or deprecate APIs at its discretion. Updates may be applied automatically. Continued use of the Software after an update constitutes acceptance.
5. Open Source Components
The Software may incorporate open source components subject to their own license terms. A list is available upon request at legal@app.qurly.dev.
6. Data and Privacy
Your use of the Software involves data collection and processing as described in our Privacy Policy. You represent that you have all necessary rights to any data you input into the Software.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QURLY SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES. QURLY’S MAXIMUM AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Term and Termination
This EULA is effective from the date you first access the Software. You may terminate by ceasing use and deleting your account. Qurly may terminate immediately upon breach. Upon termination, your license ends immediately and you must stop using the Software. Sections 3, 7, 8, 10, and 11 survive termination.
10. Export Compliance
You may not use or export the Software in violation of applicable export laws, including U.S. Export Administration Regulations. You represent that you are not located in, or a national or resident of, any embargoed country and are not on any U.S. government denied-party list.
11. Governing Law
This EULA is governed by the laws of the State of Delaware, United States. Disputes shall be resolved per the dispute resolution provisions in our Terms of Service.
12. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Qurly with respect to the Software.
